Rev-Share Free Path Terms

These terms govern the optional 5% sponsor-revenue Free path on CreatorOS AI. By clicking "I accept" on /dashboard/revshare, you agree to be bound by these terms in addition to the main Terms of Service.

4.3.1 Eligibility

To opt into the Rev-Share Free Path, you must:

• Be a verified user on the Free plan, 18 years or older
• Be an Indian resident with a UPI-enabled bank account
• Have at least one OAuth-connected platform (LinkedIn, X, YouTube, Telegram, or any platform we add) showing at least 5,000 followers
• Have an account at least 90 days old
• Not have any unpaid Razorpay invoices older than 14 days
• Accept this ToS revision by clicking "I agree" at opt-in

4.3.2 What qualifies as sponsor revenue

Includes:

• Brand-paid sponsored posts, reels, stories, videos, or tweets
• Brand-paid campaign retainers
• Brand affiliate codes paying you a flat campaign fee (not % commission)
• Agency payments on behalf of a brand

Does NOT include:

• Platform ad revenue (YouTube AdSense, Instagram Reels Play Bonus, Spotify, X monetisation)
• Personal product / ebook / course sales
• Tips, donations, gifting
• Affiliate commissions paid on % of sales
• Salary, freelance writing payments not tied to sponsored content
• Income from other tools (Substack, Patreon, Beacons)

4.3.3 Reporting obligation

You agree to:

• Report every qualifying brand deal in good faith within 30 days of receiving payment
• Submit accurate sponsor revenue amounts that match your payment proof
• Submit proof URLs we can verify (accessible to "anyone with link")
• Report each deal individually — no bundling, no per-platform splitting
• Each report must be for at least ₹1,000 in sponsor revenue (smaller deals can be bundled from the same brand into one report)
• Acknowledge that material misreporting (hiding deals, inflating amounts, fabricating brands) is grounds for immediate termination and reversal of all unlocked features

4.3.4 Software fee

• 5% of sponsor revenue per reported deal
• Capped at ₹2,000 per calendar month (cumulative across all reports)
• 18% GST added on top, billed inclusive on the Razorpay invoice
• Software fee for deals reported above the monthly cap is ₹0 — additional reports add no fees but you stay compliant by reporting them
• Fees are billed per-deal via Razorpay Invoice, not aggregated monthly

4.3.5 Payment terms

• Invoices issued within 48 hours of report approval
• Payment due within 14 days of invoice date
• Razorpay sends 2 reminder emails (day 3, day 7) and an SMS (day 10)
• Day 14 unpaid: rev-share unlocks revert to Standard Free (you keep your account and data)
• Day 30 unpaid: the Razorpay invoice expires; you can request reissuance via support
• Day 60 unpaid: account read-only until cleared
• Day 90+ unpaid + total ≥ ₹25,000: escalated to legal collection

4.3.6 Audit rights

CreatorOS AI reserves the right to verify any reported brand deal directly with the brand. By opting in, you consent to such verification being made on a sample-audit basis (typically 5% of approved reports per month). Brand verifications are limited to confirming the deal amount, date, and your creator identity — we will not request any other information from your brand contacts.

4.3.7 Termination

You can opt out anytime at /dashboard/revshare. Effects:

• Future deals don't generate software fees
• Existing reports (and any invoiced fees) continue through their billing cycle — opt-out does not cancel pending invoices
• Re-opting in is allowed only after 90 days have passed since opt-out, and any outstanding balance has been cleared (anti-flip-flop clause)
• We can terminate your access to the rev-share path for material breach (fraud, persistent under-reporting, abusive behaviour) with 7 days written notice — immediate in case of confirmed fraud
• If you don't report any qualifying deal for 180 consecutive days, we automatically revert your account to Standard Free — you can re-opt-in anytime after the cooldown elapses

4.3.8 Tax handling

• Software-fee invoices are GST-compliant; we are GST-registered and will display GSTIN on each invoice
• If your cumulative annual fees exceed ₹50,000, we may request your PAN for TDS purposes per §194-O of the Indian Income Tax Act
• We deduct 1% TDS on payments above this threshold and issue Form 16A annually

4.3.9 Our role

• We are the software vendor. We are not party to the brand-creator transaction.
• We have no liability for brand non-payment to you, brand disputes, brand IP claims, or content compliance with brand contracts
• You are solely responsible for your brand relationships and for your tax obligations on the sponsor revenue itself. This ToS section applies only to the software fee we charge.

4.3.10 Modifications

We reserve the right to modify the software fee percentage (currently 5%) or monthly cap (currently ₹2,000) with 30 days written notice to opted-in users via email and in-app banner. Changes apply only to deals reported after the effective date — never retroactively. If you disagree with a modification, you may opt out before the effective date without the 90-day cooldown applying.

4.3.11 Dispute resolution

• Specific report / invoice disputes: email support@creatorosai.in within 14 days of the invoice date. We respond within 7 business days.
• Disputes not resolved by email: governed by Indian law. Jurisdiction: Bangalore, Karnataka.

Version history is maintained at docs/strategy/pricing-v3.md and docs/ops/revshare-sop.md. The current version is v1-2026-05-31. Material changes trigger an email notification 30 days before the effective date.
